Letter re: Not-for-Profit Corporation Law

Dear Directors:

Attached are several sections of the Not-for-Profit Corporation Law. specifically:

The Annual Report of Directors requires that the Board present a report at our annual meeting, verified by the President and Treasurer or by a majority of the Board or certified by a CPA of the: assets and liabilities including trust funds for the last twelve months. principal changes in assets and liabilities, revenue/receipts of the corporation and the expenses or disbursements over that time.

Section 520 requires these reports and the liability for failure to file is set forth in Section 521.

Please provide this annual report. as required, in advance of the annual meeting.

Lastly, the PVPA minutes and historical records are not as available or accessible as they should be. Access to the records is controlled by Mr. Randall and they are available for inspection only inside his cottage. This is inconvenient, awkward and contrary to Not-for-Profit Corporation Law 621 requiring this corporation keep a correct and complete set of books and records of account and minutes of proceedings of the membership, of the Board and of the executive committee at the office of the corporation. The certificate of incorporation indicates the office is at Point Vivian Park, this means the practice of keeping records at Mr. Randall's personal residence is inappropriate and his practice of taking records out of state is not permitted.

Please take steps to have the books and records required under Section 621 properly available for inspection.
